Hjulmand & Kaptain provide legal services to Danish and foreign companies in matters under company law and on other legal and practical matters related to the establishment of companies in Denmark and abroad.
We advise on the choice of company structure and assist in this connection in deciding whether to establish a limited liability company (A/S), a private limited liability company (ApS), a limited partnership (K/S or P/S) or a general partnership (I/S), etc. Our advisory services comprise the drafting of any documents required for the establishment of a company and the formal registration thereof.
During the lifetime of a company there will be a need for adaptation of the company structure, e.g. in connection with a succession, a purchase or sale of companies or activities or any establishment abroad. In the event of a requirement for a merger or a demerger Hjulmand & Kaptain would be able to render the counselling required.
Through many years of assisting business companies in matters under company law Hjulmand & Kaptain have acquired long experience in this field. On establishments abroad we may further offer counselling through international co-operation partners in the organisation of International Jurists.
Hjulmand & Kaptain have at any time fully registered limited liability companies available and are thus able to deliver forthwith a fully registered company in case this is more convenient than forming a wholly new company.
The lawyers of Hjulmand & Kaptain participate actively in the duties of the boards of directors in a large number of companies, including stock-exchange listed companies, and have as a consequence thereof acquired long experience in this field, which ensures that the companies are supplied with the correct counselling.
